Terms of Service

1. Acceptance of terms

By creating an account or using Depentra, you agree to these Terms of Service and our Privacy Policy. If you are accepting on behalf of an organisation, you confirm you have authority to bind that organisation.

2. Description of service

Depentra is a web-based programme roadmap and dependency impact tracking application providing task management, Gantt charts, delay simulation, impact analysis, critical path analysis, resource management, risk registers, budget tracking, and related reporting, delivered as a subscription service.

3. Eligibility

You must be at least 16 years old and legally able to enter a contract. The service is intended for business use.

4. Your responsibilities

  • Keep your credentials secure and enable two-factor authentication where appropriate.
  • Ensure the data you upload complies with applicable law and our Acceptable Use Policy.
  • Use the service only within the seat, storage, and usage limits of your plan.
  • Notify us promptly of any suspected security incident affecting your account.

5. Intellectual property

Depentra and its software, design, and branding remain our property. Your project data remains yours. You grant us a limited licence to host and process it solely to provide the service. Feedback you give us may be used to improve the product without obligation.

6. Billing and renewal

Paid plans are billed per seat, monthly or annually, in advance, via Stripe. Subscriptions renew automatically until cancelled. Upgrades take effect immediately with a prorated charge; downgrades take effect at the end of the current billing period. Prices may change with at least 30 days notice, applying from your next renewal.

7. Refund policy

All paid plans include a 14-day money-back guarantee from your first payment. Details and the request process are in our Refund Policy.

8. Uptime commitment

We target 99.5% monthly uptime for all paid plans, and commit to a 99.9% SLA with service credits for Enterprise customers under their order form. Current and historical availability is published on our status page.

9. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of the service in any 12-month period is limited to the fees you paid in that period. We are not liable for indirect or consequential losses, including lost profits or business interruption. Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence.

10. Indemnification

You will indemnify us against third-party claims arising from your content or your breach of these terms. We will indemnify you against third-party claims that the service, as provided, infringes their intellectual property rights.

11. Termination

You may cancel at any time from the Customer Portal; access continues to the end of the paid period. We may suspend or terminate accounts that materially breach these terms, with notice where practicable. After termination, data is retained read-only for 30 days and then permanently deleted.

12. Dispute resolution and governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Before starting proceedings, both parties agree to attempt good-faith resolution via legal@depentra.com for at least 30 days.

13. Changes to these terms

Material changes will be notified by email and in-app banner at least 14 days in advance and will require acceptance before continued use. Continued use after the effective date constitutes acceptance of non-material changes.
